Bloomsbury Publishing plc (LSE:BMY) agreed to acquire Jordan family law publishing assets from Jordan Publishing Ltd. on December 21, 2015. In a related transaction, Bloomsbury Publishing plc signed a sale and purchase agreement to acquire certain LexisNexis assets from RELX (UK) Limited. Bloomsbury has agreed to acquire certain LexisNexis and Jordan family law publishing assets for up to a maximum consideration of £1.4 million minus deferred income which is to be determined following completion. The consideration will be satisfied in cash from existing cash resources and payable in two equal installments, the first on completion and the second six months later. The completion of the transaction is conditional on the Competition and Markets Authority approval of RELX's acquisition of the Jordan publishing business.
