The board of directors of BII Railway Transportation Technology Holdings Company Limited announced that Ms. Hou Weiwei ("Ms. Hou") has been appointed as a non-executive Director with effect from 29 June 2022. Ms. Hou, aged 39, is currently the deputy general manager of the investment development department of Beijing Infrastructure Investment Company Limited ("BII"), which is a controlling shareholder of the Company. Ms. Hou obtained a bachelor's and master's degree in economics at the Tianjin University of Finance and Economics in July 2005 and June 2009 respectively.

She was also awarded the title of Senior Economist by Beijing Senior Specialised Technique Qualification Evaluation Committee in October 2017. Between July 2010 and April 2018, Ms. Hou worked as a manager, senior project manager and assistant to the general manager in the finance planning department of BII. From April 2018 to June 2020, Ms. Hou was a deputy general manager of Beijing Jiuzhou First Rail Environmental Technology Co.

Ltd., and from November 2019 to June 2020, she was also its board secretary. Ms. Hou also served as a deputy head of the finance department of China Xiong'an Group Co. Ltd. between August 2020 and September 2021.

In April 2022, Ms. Hou was appointed as a director of Beijing Beijiao New Energy Technology Co. Ltd. Ms. Hou has entered into a letter of appointment with the Company for a term of three years commencing from 29 June 2022 and is subject to retirement by rotation and re-election at the following annual general meeting of the Company in accordance with the articles of association of the Company. According to the terms of appointment, no director's fee will be payable to Ms. Hou but Ms. Hou is entitled to reimbursement of all reasonable out-of-pocket expenses incurred in relation to the discharge of her duties to the Company for a total amount not exceeding HKD 240,000 per annum and subject to the requirements of the Company's relevant financial policies.

Save as disclosed above, as at the date of this announcement, Ms. Hou did not have any relationship with any Directors, senior management or substantial or controlling shareholders of the Company; she did not have any interest in the shares or underlying shares of the Company within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong); she did not hold any other directorships in public companies the securities of which are listed on any securities market in Hong Kong or overseas in the last three years; and she did not hold other positions with other members of the Group.
