Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On January 18, 2021, the Board of Directors of BellRing approved the amendment and restatement of the Company's Amended and Restated Bylaws (the "second Amended and Restated Bylaws"), effective January 18, 2021. The second Amended and Restated Bylaws revised Article l, Sections 1 and 2 of the Company's Amended and Restated Bylaws to allow for the annual meeting of stockholders and special meetings of stockholders to be conducted by means of remote communication.

The foregoing description of the second Amended and Restated Bylaws is only a summary of the principal features of the revisions made to the Company's Amended and Restated Bylaws, does not purport to be complete and is qualified in its entirety by reference to the second Amended and Restated Bylaws, a copy of which is filed as Exhibit 3.1 hereto and a marked copy of which showing the amendments is filed as Exhibit 3.2 hereto, each of which is incorporated herein by reference.
