Important information regarding requests to add items to the agenda

Pursuant to Art. 9 para. 3 of the Articles of Association, shareholders or groups of shareholders who represent shares of Bell Food Group Ltd with a par value of at least 10 % of the share capital may demand that an item be placed on the agenda.

A request to add an item to the agenda must be submitted to the General Secretariat of Bell Food Group Ltd in writing by 5 February 2021 at the latest and specify the subjects to be discussed and the proposals. The request must be accompanied by proof of the number of shares that are repre- sented.

No resolutions may be made on motions relating to agenda items that were not duly notified, except for motions to convene an extraordinary general meeting or to carry out a special audit and to appoint an auditor at the request of a shareholder (Art. 700 para. 3 Swiss Code of Obligations).
