Company Announcement Notice to shareholders of AS VIRŠI-A regarding reorganisation

AS VIRŠI-A (registration number 40003242737, legal address Kalna iela 17, Aizkraukle, Aizkraukle Rural Territory, Aizkraukle Municipality, LV-5101) in accordance with Section 354.¹, Paragraph 2 of the Commercial Law, the acquiring company publishes this notice of reorganisation to the shareholders of AS VIRŠI-A.

The reorganisation involves two companies:

1. AS VIRŠI-A (registration number 40003242737, legal address Kalna iela 17, Aizkraukle, Aizkraukle Rural Territory, Aizkraukle Municipality, LV-5101);
2. SIA Viršu nekustamie īpašumi, registration number 40103667340, legal address Kalna iela 17, Aizkraukle, Aizkraukle Rural Territory, Aizkraukle Municipality, LV-5101.

The reorganisation is carried out by merging through an acquisition process. The acquiring company is AS VIRŠI-A and the merging company is SIA Viršu nekustamie īpašumi.

The shareholders of AS VIRŠI-A may get acquainted with the draft agreement on reorganisation, prospectus and annual reports of both companies involved in the reorganisation for the last three accounting years starting from the date of publication of this notice until 12 June 2023 at the legal address of AS VIRŠI-A, Kalna iela 17, Aizkraukle, Aizkraukle Rural Territory, Aizkraukle Municipality, LV-5101, by prior arrangement ([e-mail] or tel. [phone]).

The shareholders of AS VIRŠI-A are entitled to request a shareholders' meeting for the adoption of a decision regarding the reorganisation until 12 June 2023. Pursuant to Section 354.² of the Commercial Law, such right is granted to shareholders representing not less than one twentieth of the equity capital of AS VIRŠI-A.
