Aeria Inc. (JASDAQ:3758) signed an agreement to acquire remaining 0.36% stake in eitarosoft, inc. from Eitaro Nishijima for ¥0.41 million on September 5, 2017. Aeria Inc. will issue 1.85 shares for each share of eitarosoft, inc. and will issue 185 shares as consideration. Post transaction, Aeria Inc. will hold 100% stake in eitarosoft, inc. and eitarosoft, inc. will operate as a wholly owned subsidiary of Aeria Inc. For the year ended December 2016, eitarosoft reported net liabilities of ¥104.2 million, total assets of ¥128.8 million, sales of ¥385.1 million, operating loss of ¥25.5 million and net loss of ¥30 million. The Board of Directors of Aeria Inc. passed a resolution for the transaction on September 5, 2017. The shareholders of eitarosoft, inc. approved the transaction on September 5, 2017. The transaction is expected to be closed on October 13, 2017. Tokyo Financial Advisers Co., Ltd acted as third-party appraiser to Aeria Inc.
