5.Cause of occurrence:The company passed the resolution of the
2022annual general meeting of shareholders to handle the case
of capital reduction to make up for losses.
6.Countermeasures:1. The company passed the resolution of the shareholders'
general meeting on June 10, 2022 to make up for the loss through capital
reduction, so as to improve the capital structure and increase the net
value per share.
2.The capital reduction was NT$3,286,091,920, and 328,609,192 shares were
cancelled. After the capital reduction, the total paid-in capital was
NT$1,095,363,980, divided into 109,536,398 shares, each with a face value
of NT$10.
3.If the company's creditors have any objection to the capital reduction
plan, please submit it to the company in writing within 31 days from now.
Those who do not express within the time limit shall be deemed to have
no objection.
4.The above are handled in accordance with the provisions of Article 73
and Article 74 of the same law as applicable to Article 281 of the
Company Law.
