On March 19, 2012, the companies announced the definitive merger agreement under which Adams Golf would be acquired by Adidas AG's TaylorMade-adidas Golf Division, in a transaction valued at approximately $70 million. Under the terms of the agreement, Adams Golf stockholders will receive $10.80 in cash for each share of Adams Golf/ADGF common stock held. The $10.80 offer price represents a 9.5 percent premium over Adams Golf's closing price on Friday, March 16, 2002.
