Allied Plus Limited entered into a share exchange agreement to acquire ABV Consulting, Inc. in a reverse merger transaction.

Allied Plus (Samoa) Limited entered into a share exchange agreement to acquire ABV Consulting, Inc. (OTCPK:ABVN) in a reverse merger transaction on February 24, 2017. The consideration includes issuance of 1.98 billion shares which represents 99.72% of the issued and outstanding shares of ABV Consulting. Allied Plus (Samoa) Limited completed the acquisition of ABV Consulting, Inc. (OTCPK:ABVN) in a reverse merger transaction on February 28, 2017. On December 19, 2017, Allied Plus (Samoa) Limited and ABV Consulting entered into a rescission agreement where the shareholders rescinded the share exchange agreement and the ownership was returned to the state it was in immediately prior to the share agreement.
The deal is subject to approval by ABV Consulting's Board of Directors and shareholders, approval from government authorities and third party approvals. The closing will take place within 5 days of satisfaction of all conditions.
ABV Consulting, Inc. provides merchandising and consulting services to craft beer brewers and distributors. The Company also provides marketing support within the craft beer industry to retailers and other organizations. The Company provides general branding support, including marketing research, naming and graphic design help. It builds and merchandises displays of product in the off-premise class of trade. It executes sampling promotions, where legal, in the on-premise and off-premise class of trade. The Company develops and/or executes promotions in the on-premise class of trade. It is also involved in manning sampling booths at local beer festivals. It develops and/or executes other sales and marketing strategies. The Company focuses on providing services for retailers and other organizations using craft beer, including organizing, promoting and managing beer festivals; managing merchandising, and promoting and executing sampling efforts in order to drive customers into the store.
