PROFIT WARNING

This announcement is made by E Lighting Group Holdings Limited (the "Company", together with its subsidiaries, collectively the "Group") pursuant to Rule 17.10 of the Rules Governing the Listing of Securities on GEM of the Stock Exchange (the "GEM Listing Rules") and the Inside Information Provisions (as defined under the GEM Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board (the "Board") of directors (the "Directors") of the Company wishes to inform shareholders of the Company (the "Shareholders") and potential investors that, based on the information currently available, the Group is expected to record a net loss for the nine months ended 31 December 2018. The net loss is mainly attributable to the recognition of impairment loss on the goodwill.

As the trade conflicts between the P.R.C. and the United States, the business environment will remain uncertain. The Group expects that the revenue growth of the business to the United States will be lower than budgeted. Therefore, the Group has recognised an impairment loss of goodwill of approximately HK$18,112,000 during the nine months ended 31 December 2018.

The Board considers that the existing business operation and the financial position of the Group are healthy. The impairment loss on goodwill is a non-cash item and does not affect the cash flow of the Group's operations.

As the Company is still in the course of preparing its consolidated results for the nine months ended 31 December 2018, the information contained in this announcement is only based on a preliminary assessment by the Board based on the information currently available to the Company and such information, which are subject to further adjustments, has not been reviewed by the audit committee of the Company. Details of the financial information to be disclosed in the Company's third quarterly report for the nine months ended 31 December 2018 shall prevail over the information contained herein, and will be published in February 2019. Shareholders and potential investors are advised to pay attention to such results of the Group when published.
