UPDATE ON A WINDING UP PETITION

AGAINST A SUBSIDIARY

This announcement is made by Hybrid Kinetic Group Limited (the "Company") pursuant to Rule 13.09 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and Part XIVA of the Securities and Futures Ordinance (Cap. 571, Laws of Hong Kong).

References are made to the announcements of the Company dated 25 September 2019 and

14 October 2019 in relation to the Winding-up Petition against the Subsidiary ("Previous Announcements"). Unless the context requires otherwise, capitalised terms used herein shall bear the same meanings as defined in the Previous Announcements in relation to the Winding- up Petition against the Subsidiary.

At the scheduled hearing on 20 November 2019, the Company contested the Winding-up Petition and the High Court adjourned the Winding-up Petition to 9:30 a.m. on Monday, 2 December 2019 to be heard for further directions.

The Company will continue to closely monitor any further developments of the matter and will make further announcements in compliance with the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong) as well as the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited to inform its shareholders as and when appropriate.

As at the date of this announcement, the Board comprises eight executive Directors, namely Dr Yeung Yung (Chairman), Dr Huang Chunhua (Deputy Chairman), Dr Wang Chuantao (Deputy Chairman), Mr Liu Stephen Quan, Dr Zhu Shengliang, Mr Li Zhengshan, Mr Ting Kwok Kit, Johnny and Mr Chen Xiao, one non-executive Director, namely Dr Xia Tingkang, Tim and six independent non-executive Directors, namely Dr Song Jian, Dr Zhu Guobin, Mr Cheng Tat Wa, Dr Li Jianyong, Mr Chan Sin Hang and Mr Lee Cheung Yuet Horace.
