APPOINTMENT OF AN INDEPENDENT NON-EXECUTIVE

DIRECTOR, AN EXECUTIVE DIRECTOR AND

A MEMBER OF THE AUDIT COMMITTEE

The board (the "Board") of directors (the "Directors") of Christine International Holdings Limited (the "Company") hereby announces that with effect from 30 August 2019:

  1. Mr. Chun Bin Xu ("Mr. Xu") has been appointed as an independent non-executive Director;
  2. Mr. Chien-Li Tseng ("Mr. Tseng") has been appointed as an executive Director; and
  3. Mr. Xu, an independent non-executive Director, has been appointed as a member of the audit committee of the Company.

This announcement is made pursuant to Rule 13.51(2) of the Rules Governing the Listing of Securities (the "Listing Rules") on The Stock Exchange of Hong Kong Limited (the "Stock Exchange").

APPOINTMENT OF AN INDEPENDENT NON-EXECUTIVE DIRECTOR

The Board hereby announces that Mr. Xu has been appointed as an independent non-executive Director with effect from 30 August 2019.

The biographical details of Mr. Xu are set out as follows:

Mr. Chun Bin Xu (徐純彬), aged 55, graduated from the Business School of Nanjing University with an EMBA degree. Mr. Xu has been working in the financial and investment departments of the financial institutions for a long term and has extensive experience in financial management and financial investments. Mr. Xu joined Industrial and Commercial Bank of China ("ICBC") in 1983, and he had been appointed as the financial director and an officer of Nanjing Sub-branch, vice president of Eastern Branch, president of Xiaguan Branch, vice president of Nanjing Branch and president of Yangzhou Branch of ICBC Since 1994. Mr. Xu had been the president of Nanjing Branch of Bank of Shanghai, the chairman of Jiangning District Shangyin Village Bank and the general manager of Cash-Center of the of Bank of Shanghai Head office since 2015.

Except as disclosed in this announcement, (i) Mr. Xu has not held any directorship in any listed public company or had any major appointments and professional qualifications in the last three years preceding the date of his appointment; and (ii) he does not hold any other position with the Company and other members of the Group. As of the date of this announcement, except as disclosed in this announcement, Mr. Xu neither has any relationship with any directors, senior management, substantial shareholders or controlling shareholders (as defined in the Listing Rules) of the Company and other members of the Group, nor has any interests in any shares, underlying shares or debentures (as defined under Part XV of the Securities and Futures Ordinance, Cap. 571 of the Laws of Hong Kong) of the Company.

The annual emolument of Mr. Xu has yet to be determined and will be determined by the Board with reference to his duties and responsibilities, remuneration policy of the Company as well as the prevailing market conditions. He will hold the office until the next annual general meeting of the Company and is subject to retirement by rotation and re-election at the annual general meeting of the Company in accordance with the articles of association (the "Articles") of the Company.

Except as disclosed in this announcement, the Board is not aware of any other matters that need to be brought to the attention of the shareholders of the Company and the Stock Exchange, and there is no other information required to be disclosed pursuant to Rules 13.51(2)(h) to 13.51(2)(v) of the Listing Rules in relation to the appointment of Mr. Xu as an independent non-executive Director.

APPOINTMENT OF AN EXECUTIVE DIRECTOR

The Board hereby announces that Mr. Tseng has been appointed as an executive Director with effect from 30 August 2019.

The biographical details of Mr. Tseng are set out as follows:

Mr. Chien-Li Tseng (曾建利), aged 63, graduated from Lee-Ming Institute of Technology with a

degree in bakery (production of chocolate) in 1978. Mr. Tseng established China Taiwan Yicheng Food Enterprise Ltd. (中國台灣易成食品企業有限公司) in 1983 and Shanghai Yicheng Food Company Ltd. (上海億成食品有限公司) in 1993, where he has been serving as the chairman of

the board. Both companies specialize in the production of chocolate and its products mainly for western-style pastry, bread and dessert.

As of the date of this announcement, Mr. Tseng is deemed to be interested in 23,990,716 shares of the Company which are held by Shing Ocean Holdings Corp, a company wholly-owned by Mr. Tseng, representing approximately 2.37% of the issued ordinary share capital of the Company.

Except as disclosed in this announcement, (i) Mr. Tseng has not held any directorship in any listed public company or had any major appointments and professional qualifications in the last three years preceding the date of his appointment; and (ii) he does not hold any other position with the Company and other members of the Group. As of the date of this announcement, except as disclosed in this announcement, Mr. Tseng neither has any relationship with any directors, senior management, substantial shareholders or controlling shareholders (as defined in the Listing Rules) of the Company and other members of the Group, nor has any interests in any shares, underlying shares or debentures (as defined under Part XV of the Securities and Futures Ordinance, Cap. 571 of the Laws of Hong Kong) of the Company.
