Announcement Lisbon, 29 January 2013 - Under the terms and for the purposes of Article 17 of the Portuguese Securities Code, ZON MULTIMÉDIA - Serviços de Telecomunicações e Multimédia, SGPS, S.A. ("ZON" or the "Company"), hereby informs that it has been notified by Sonaecom, SGPS, S.A. as follows:

"As required by Article 16 of the Portuguese Securities Code, Sonaecom, SGPS, S.A. (Sonaecom) hereby informs that:
Pursuant to the agreement reached between Sonaecom, Kento Holding Limited and Jadeium BV, currently named Unitel International Holdings, BV (Grupo KJ) and the subsequent unanimous approval from the Boards of Directors of ZON MULTIMÉDIA - Serviços de Telecomunicações e Multimédia, SGPS, S.A. and OPTIMUS, SGPS, S.A. of the merger project, both publicly announced on 14 December 2012 and 21 January 2013, respectively, the Grupo KJ participation, corresponding to 28.81% of ZON share capital is, from the 21 January 2013, attributable to Sonaecom (under the terms and for the purposes of Article 20, paragraph 1, h) of the Portuguese Securities Code).
According with Article 20, paragraph 1, b) of the Portuguese Securities Code, the participation attributable to Sonaecom is also attributable to companies or persons that exercise control over Sonaecom: SONTEL, BV, Sonae Investments, BV, SONAE, SGPS, S.A., EFANOR INVESTIMENTOS, SGPS, S.A. and to Eng.º Belmiro Mendes de Azevedo.
This participation corresponds to a total of 89.056.777 shares of ZON, representing
28.81% of the voting rights of the company, a percentage that has to be adjusted in accordance with the number of own shares held by ZON.
Despite the aforementioned attribution, which only is considered for the purpose of the Portuguese Securities Code, it should be clarified that Sonaecom does not hold directly or participates in companies that hold any shares or voting rights of ZON."
