Zamp S.A. (BOVESPA:ZAMP3) made a non-binding offer to acquire Certain Goods and Assets of the Starbucks Stores in Brazil from Southrock Capital Ltda. for BRL 120 million on April 19, 2024. Zamp S.A. entered into a sale and purchase agreement to acquire Certain Goods and Assets of the Starbucks Stores in Brazil from Southrock Capital Ltda. on June 6, 2024. A cash consideration of BRL 120 million will be paid by Zamp S.A. As part of consideration, BRL 120 million is paid towards assets of Certain Goods and Assets of the Starbucks Stores in Brazil. The closing of the transaction is subject to certain conditions precedent, including the judicial authorization within the
scope of SouthRock?s judicial reorganization, as provided by law, the approval of the transaction by CADE,and the execution of definitive contracts with Starbucks Corporation as the owner of the ?Starbucks? brand, in addition to other customary conditions in transactions of this nature.
