WHA Premium Factory and Warehouse Freehold and Leasehold Property Fund (SET:WHAPF) agreed to acquire Kao Phase 3 Project and Healthcare Project from WHA Corporation Public Company Limited (SET:WHA) and Warehouse Asia Alliance Company Limited for THB 2.1 billion in cash on May 25, 2012. WHA Premium Factory agreed to pay approximately THB 470 million for acquisition of Kao Phase 3 Project and THB 1.6 billion for acquisition of Healthcare Project. WHA Premium Factory will pay the consideration on January 10, 2013, or any such the closing date agreed by the parties. WHA Premium Factory and Warehouse Freehold and Leasehold Property Fund will fund the consideration through offering new units for THB 2.09 billion.

The transaction is subject to approval of shareholders of WHA Corporation Public Company and will be in accordance with the rules and regulations of the Office of Securities and Exchange Commission, The Stock Exchange of Thailand and relevant authorities as well as subject to the provisions of the Public Company Limited Act and relevant rules, regulations and laws. As on January 4, 2013, the Board of Directors of WHA Corporation Public Company approved the transaction. As on January 10, 2013, the unitholders of WHA Premium Factory and Warehouse Freehold and Leasehold Property Fund approved the transaction. The transaction is expected to close by January 10, 2013, or within the period as extended by mutual agreement between WHA Corporation Public Company and the Fund which is expected to take place within the first quarter of 2013.

WHA Corporation Public Company will utilize the proceeds arising from the asset disposal to repay to the loans related to the assets sold and the company's debts and will use the remaining amount after tax for developing and expanding the business of WHA Corporation Public Company and its group in the future. Knight Frank Chartered (Thailand) Co. Ltd. and Bangkok Property Appraisal Co., Ltd. acted as valuers in the transaction.
