On January 5, 2023, Wag! Group Co. (the "Company"), through its subsidiary Wag
Labs, Inc., completed its previously announced acquisition of the Dog Food
Advisor assets of Clicks and Traffic LLC ("Seller") for cash consideration of $9
million.

Item 7.01 Regulation FD Disclosure



On January 5, 2023, the Company issued a press release announcing the closing of
the acquisition of the Dog Food Advisor assets of the Seller. A copy of the
press release is attached hereto as Exhibit 99.1 and is incorporated herein by
reference.
