Reference is made to the announcement made on 16 October 2023 regarding the
completion of the demerger and transfer of Vow Green Metals' Follum business
into a wholly owned subsidiary of Vow Green Metals, VGM Hjelpeselskap AS.

The merger of VGM Hjelpeselskap AS with VGM Operatør AS has now been registered
as completed in the Norwegian Register of Business Enterprises, completing the
drop-down demerger plan (the "Drop-down"). 

As a result of the completion of the merger, the share capital of Vow Green
Metals AS is increased trough increase in the nominal value of each share. The
new share capital of Vow Green Metals is NOK 1.073.976,098, divided by
165.227.092 shares. The number and nominal value of the shares in Vow Green
Metals thus remains unchanged as before the completion of the Drop-down.
