On January 24, 2023, Veritex Holdings, Inc. (the "Company"), the holding company
for Veritex Community Bank, a Texas state chartered bank, issued a press release
describing its results of operations for the quarter and year ended December 31,
2022. A copy of the press release is attached hereto as Exhibit 99.1 and is
incorporated herein by reference.

Company's website after the close of the market on Tuesday, January 24, 2023.

Item 8.01 Other Events

  After the close of the market on Tuesday, January 24, 2023, the Company issued
a press release announcing the declaration of a quarterly cash dividend of $0.20
per share on its outstanding common stock. The dividend will be paid on
February 24, 2023 to shareholders of record as of the close of business on
February 10, 2023. The press release is attached hereto as Exhibit 99.3 and is
incorporated herein by reference.
