DECLARATION AND PAYMENT OF A SPECIAL DIVIDEND

AND

CLOSURE OF REGISTER OF MEMBERS

Reference is made to the announcement of Value Partners Group Limited (the "Company", together with its subsidiaries, the "Group") dated 8 January 2018 in relation to the notice of meeting of the board of directors of the Company (the "Board") in relation to the proposed declaration of a special dividend.

The Board is pleased to announce that at the Board meeting held today, having considered the preliminary unaudited results of the Group for the year ended 31 December 2017 ("FY 2017") and to commemorate the 25th anniversary of the Group, it has resolved to declare a special cash dividend (the "Special Dividend") of HK86 cents per ordinary share of the Company to the shareholders of the Company whose names appear on the register of members of the Company on Wednesday, 7 February 2018. It is expected that the Special Dividend will be payable in cash on Wednesday, 28 February 2018. The amount and payment of final dividend for FY 2017 will be considered at the board meeting of the Company to be convened for the approval of the final results for FY 2017.

The register of members of the Company will be closed from Monday, 5 February 2018 to Wednesday, 7 February 2018, during which period no transfer of shares of the Company will be registered. In order for a Shareholder to qualify for the Special Dividend, all transfer forms accompanied by the relevant share certificates must be lodged with the Company's branch share registrar in Hong Kong, Tricor Investor Services Limited at Level 22, Hopewell Centre, 183 Queen's Road East, Hong Kong for registration no later than 4:30p.m. on Friday, 2 February 2018.
