ORDINARY SHAREHOLDERS' MEETING

The Shareholders' Meeting of UnipolSai S.p.A., which met on the date hereof, approved the Company's Financial Statements as at 31 December 2016, whose contents are already known to the market.

The Shareholders' Meeting also resolved the distribution of dividends for a total of approximately

€353m (i.e. a pay-out ratio of approximately 77%), in the amount of €0.125 per ordinary share with dividend rights.

The dividend will be payable as of 24 May 2017, with ex-dividend date on 22 May 2017 and record date on 23 May 2017.

Moreover, the Ordinary Shareholders' Meeting:

  • approved the remuneration report prepared pursuant to Article 123-ter of the Consolidated Law on Finance and Article 24 of ISVAP Regulation No. 39 of 9 June 2011;

  • after canceling the previous authorization, authorized, for the duration of 18 months, the purchase and disposal of treasury shares within the maximum amount of €100m pursuant to Articles 2357 and 2357-ter of the Italian Civil Code, as well as the purchase and disposal of shares of Unipol Gruppo Finanziario Spa, the parent company, within the maximum amount of

€50m pursuant to Article 2359-bis of the Italian Civil Code, as illustrated in the Directors' Report for the Shareholders' Meeting held today.
