CONTINUING CONNECTED TRANSACTIONS
PROVISION OF NON-FRANCHISED BUS SERVICES
The Company announces that on 20 August 2020, SBL (an indirect wholly-owned subsidiary of the Company) entered into the New Bus Services Contract with SHKRE(SL) and as at the date of this announcement (i) SBL had previously entered into the Previous Shuttle Bus Services Contracts with AFFCC, HKBAC, SHKRE(SL), RESC and SHKRE respectively and (ii) the Subsidiaries (a series of indirect wholly- owned subsidiaries of the Company) had previously entered into the Previous Bus Services Contracts with KSMS, regarding the provision of various non-franchised bus services.
At the date of this announcement, SHKP is interested in approximately 39.69% shareholding interest in the Company. Since AFFCC, RESC and SHKRE(SL) are indirect wholly-owned subsidiaries of SHKP, HKBAC is an indirect non wholly- owned subsidiary of SHKP and SHKRE and KSMS are direct wholly-owned subsidiaries of SHKP, the aforesaid companies are thus associates of SHKP and connected persons of the Company under the Listing Rules. Accordingly, the transactions contemplated under the New Bus Services Contract, the Previous Shuttle Bus Services Contracts and the Previous Bus Services Contracts constitute continuing connected transactions of the Company under Chapter 14A of the Listing Rules. As one or more of the applicable percentage ratios in respect of the estimated annual cap for the continuing connected transactions under the New Bus Services Contract, the Previous Shuttle Bus Services Contracts and the Previous Bus Services Contracts for the year ending 31 December 2020 are more than 0.1% but less than 5%, the transactions contemplated thereunder are only subject to the applicable reporting, announcement and annual review requirements but exempt from the circular and independent shareholders' approval requirements pursuant to Chapter 14A of the Listing Rules.
Information on the New Bus Services Contract, the Previous Shuttle Bus Services Contracts and the Previous Bus Services Contracts will be included in the relevant annual report of the Company in accordance with Rule 14A.71 of the Listing Rules.

NEW BUS SERVICES CONTRACT, PREVIOUS SHUTTLE BUS SERVICES CONTRACTS AND PREVIOUS BUS SERVICES CONTRACTS
The Company announces that (a) on 20 August 2020, SBL, an indirect wholly-owned subsidiary of the Company entered into the New Bus Services Contract with SHKRE(SL) (referred to in item 1 below); and (b) as at the date of this announcement, (i) SBL had previously entered into the Previous Shuttle Bus Services Contracts with AFFCC, HKBAC, SHKRE(SL), RESC and SHKRE respectively (referred to in items 2 to 19 below) and (ii) the Subsidiaries had previously entered into the Previous Bus Services Contracts with KSMS (referred to in item 20 below). CONSIDERATION AND ANNUAL CAPS
The service fees under the Previous Shuttle Bus Services Contracts and the Previous Bus Services Contracts are determined in accordance with the rates specified in the relevant contracts, ranging from approximately HK$350 to HK$530 per hour per bus which were determined after taking into account factors such as the number and model of buses requested, the days and hours of services requested, the relevant costs and expected loads and routes, using the prevailing market rates as a price indicator, namely, the services fees charged for similar bus operations in the market.
The annual caps regarding the New Bus Services Contract, the Previous Shuttle Bus Services Contracts and the Previous Bus Services Contracts for the three years ending 31 December 2020, 2021 and 2022 are estimated to be HK$6,850,114, HK$4,206,232 and HK$244,413 respectively. Such annual caps are determined with reference to the agreed rates or fees specified in the relevant contracts and the expected demand for the services.
REASONS AND BENEFITS FOR ENTERING INTO THE TRANSACTIONS
The Group is principally engaged in the operation of both franchised and non-franchised public transportation, property holdings and development, while SBL and the Subsidiaries offer a wide range of non-franchised bus services for specific market segments. The New Bus Services Contract, the Previous Shuttle Bus Services Contracts and the Previous Bus Services Contracts were entered into in the ordinary course of business of the Group, which are an additional source of revenue for the Group.
The Directors (including the independent non-executive Directors) consider that the New Bus Services Contract, the Previous Shuttle Bus Services Contracts and the Previous Bus Services Contracts and the transactions thereunder are on normal commercial terms which were arrived at after arm's length negotiation between the parties concerned and in the ordinary and usual course of business of the Group and the terms of which, including the estimated annual caps, are fair and reasonable and in the interests of the Group and the shareholders of the Company as a whole.
As Mr. Raymond KWOK Ping Luen (a director of the Company) is interested in certain issued shares of SHKP, his alternate director who attended the relevant Board meeting in his absence abstained from voting on the relevant Board resolution to approve and confirm the New Bus Services Contract, the Previous Shuttle Bus Services Contracts and the Previous Bus Services Contracts. In addition, Dr. Norman LEUNG Nai Pang and Dr. Eric LI Ka Cheung are directors of both the Company and SHKP, Mr. Allen FUNG Yuk Lun is a director of the Company, SHKP and HKBAC, Mr. LEE Luen Fai and Mr. LUNG Po Kwan are directors of the Company and employees of SHKP also abstained from voting on the relevant Board resolution to approve and confirm the New Bus Services Contract, the Previous Shuttle Bus Services Contracts and the Previous Bus Services Contracts. Save as disclosed above, none of the Directors is considered to have any material interests in such transactions.
