Notice Regarding Announcement by Toshiba Corporation of Opinion Recommending the Shareholders to Tender their shares in connection with Scheduled Commencement of the Tender Offer for the Shares of Toshiba Corporation (Securities Code: 6502)

TBJH, Inc. (the "Offeror") announced in its "Notice Regarding Planned Commencement of Tender Offer for the Shares of Toshi ba Corporation (Code: 6502)" dated March 23, 2023 that it plans to commence the Tender Offer (the "Tender Offer") targeting all of the issued and outstanding shares of common stock (the "Target Share") of Toshiba Corporation (the "Target") (except for shares of treasury stock) as soon as practicably possible (but no later than ten (10) business days) after the date on which the conditions precedent for the Tender Offer set forth in the Tender Offer Agreement executed on March 23, 2023 between the Target and the Offeror (the "Conditions Precedent for the Tender Offer") have been satisfied, including the completion of all the procedures and measures that are required under the foreign competition laws and regulations, and laws relating to foreign direct investment for the Tender Offer are fulfilled or are waived by the Offeror at its discretion or by a separate agreement between the Target and the Offeror, or on a date to be separately agreed upon by the Offeror and the Target.

So far, the Offeror, with the cooperation of the Target, has been proceeding with the necessary procedures to satisfy the Conditions Precedent for the Tender Offer, including the procedures under foreign competition laws and regulations, and laws relating to foreign direct investment. While doing so, on June 8, 2023, the Offeror has been informed by the Target that its Board of Directors, at a meeting held on the same day, unanimously resolved to support the Tender Offer again and to recommend that the shareholders of the Target tender their shares in the Tender Offer, when the Tender Offer is commenced, as its opinion as of the same day, and therefore the Offeror hereby announces the following.

As of today, although the Offeror still aims for the Tender Offer to commence in the last ten days of July 2023, it is difficult to accurately forecast the time required for the said procedures, and we will promptly announce the details of the Tender Offer schedule once it has been decided. Any changes made to the expected schedule for the commencement of the Tender Offer will also be promptly

announced.

The Target announced, in its "Announcement of Opinion of Scheduled Commencement of the Tender Offer to be Conducted by TBJH Inc. for the Company Shares" dated March 23, 2023 (which has been amended by its "Notice of Correction to "Announcement of Opinion of Scheduled Commencement of the Tender Offer to be Conducted by TBJH Inc. for the Company Shares" " dated March 24, 2023 and "Notice of Correction to "Announcement of Opinion of Scheduled Commencement of the Tender Offer to be Conducted by TBJH Inc. for the Company Shares" " dated March 27, 2023), that (i) on March 23, 2023, the Target, at a meeting of its Board of Directors, resolved to express an opinion supporting the Tender Offer if the Tender Offer is commenced and to refrain from making a decision on whether or not to recommend that the shareholders tender their shares in the Tender Offer (the "Original Opinion"), and (ii) its Board of Directors intends to reconsider and make its decisions on whether or not to recommend that the shareholders tender their shares in the Tender Offer, based on the opinion of the special committee established by the Target with which the Target consults during the period from the same date until the commencement of the Tender Offer.

The Target has unanimously resolved, as its current opinion, at its Board of Directors' meeting held on June 8, 2023, having considered the opinions of the special committee established by the Target, to revise the Original Opinion to: were the Tender Offer to commence, the Target supports the Tender Offer and recommends that the shareholders tender their shares in the Tender Offer (the "Revised Opinion").
