The executive officers and directors have agreed, without the prior written consent of the representative, not to, directly or indirectly, offer to sell, sell, pledge or otherwise transfer or dispose of any of shares of (or enter into any transaction or device that is designed to, or could be expected to, result in the transfer or disposition by any person at any time in the future of) our common stock, enter into any swap or other derivatives transaction that transfers to another, in whole or in part, any of the economic benefits or risks of ownership of shares of our common stock, make any demand for or exercise any right or cause to be filed a registration statement, including any amendments thereto, with respect to the registration of any shares of common stock or securities convertible into or exercisable or exchangeable for shares of common stock or any other of our securities or publicly disclose the intention to do any of the foregoing, subject to customary exceptions, for, with respect to the Company, a period of 90 days from the date of this prospectus, and with respect to our executive officers and directors, a period of 180 days from the date of this prospectus.
Tharimmune, Inc. is a clinical-stage biotechnology company. The Company is engaged in developing a portfolio of therapeutic candidate for inflammatory and immunologic conditions. It has a transmucosal film product, TH104 in Phase I clinical development, two bispecific candidates and a Picobody candidate in pre-clinical development. TH104 is a transmucosal buccal film embedded with the active compound nalmefene onto a thin film which adheres inside of the mouth on the cheek and biodegrades. TH104 is an ideal product candidate for multiple liver-related and other pruritogenic inflammatory conditions. It is also developing an early-stage pipeline of novel therapeutic candidates targeting validated high value immune-oncology (IO) targets including human epidermal growth factor (EGF) receptor 2 (HER2), human EGF receptor 3 (HER3) and programmed cell death protein (PD-1). The Company is developing antibodies, including bispecific antibodies, antibody drug conjugates (ADCs) and others.
