As on 3 December 2020, the Central Bankruptcy Court granted approval order for Thai Airways International Public Company Limited ("THAI") to sell Laksi training center located at 425, Talad Bangkhen (Don Mueang) subdistrict, Bangkhen district, Bangkok, covering a total area of 19 Rai 3 Ngan 26 Square Wa or 7,926 Square Wa, which consists of land with buildings and constructions, excluding properties that are not land and building component parts and other chattels, ("Land and Laksi Training Center"), by a bidding process that allowed bidders to submit their bid envelope on 1 April 2021.

THAI hereby announces that on 16 April 2021, the Planners has considered and approved the consideration and selection of Land and Laksi Training Center the bidding winner result that is Energy Complex Company Limited (the "Buyer"), who proposed the highest price at THB 1,810,000,000.00 (one thousand eight hundred and ten billion Thai baht only). The selected bidder has to enter into a property sales agreement and places a 10 percent down payment within 15 days after the date of the announcement (by 5 May 2021). The remaining amount must be paid before or on the registration of transfer of ownership of Land and Laksi Training Center date. The selected bidder will be responsible for expenses derived from the registration of transfer of ownership or possessory right of the Land and Laksi Training Center, which includes withholding tax, special business tax, duty fee, fee relevant to this transaction and other burden.

In this regard, the entering into the aforementioned transaction is considered a disposal of assets pursuant to the Notification of the Capital Market Supervisory Board No. TorChor. 20/2551 Re: Rules on Entering into Material Transactions Deemed as Acquisition or Disposal of Assets (as amended), and the

Notification of the Board of Governors of the Stock Exchange of Thailand Re: Disclosure of Information and Other Acts of Listed Companies Concerning the Acquisition and Disposition of Assets, 2004 (as amended). By means of the calculation, when coupled with other disposal of assets transaction during the period of the past 6 months, the transaction size is less than 15 percent. Meanwhile, it is not considered a connected transaction under the Notification of the Capital Market Supervisory Board No. TorChor. 21/2551 Re: Rules on Connected Transactions (as amended) and the Notification of the Board of Governors of the Stock Exchange of Thailand Re: Disclosure of Information and Other Acts of Listed Companies Concerning the Connected Transactions, 2003 (as amended), as THAI has proceed and comply to the Central Bankruptcy Court order dated 3 December 2020, where THAI has conducted the sale through bidding process that allows bidders to submit their bid envelope and the selling price not lower than the market price, as informed to the Court. THAI has also specified details regarding the sale of such asset in the Business Rehabilitation Plan submitted to the Official Receiver on 2 March 2021. In addition, because the Court ordered that this transaction is under the supervision of the Official Receiver, when the transfer of ownership is completed, THAI will report the sale of Land and Laksi Training Center to the Official Receiver accordingly.
