Telegraaf Media Groep : TMG confirms receipt unsolicited conditional proposal of Talpa Holding N.V.

In response to the public announcement made by Talpa Holding N.V., Telegraaf Media Groep N.V. (TMG) confirms that it has received an unsolicited non-binding, conditional proposal from Talpa for the acquisition of all issued and outstanding depository receipts of TMG at an indicative offer price of EUR 5,90 (cum dividend) in cash per depositary receipt in TMG (the Talpa Proposal).

The Supervisory Board (Supervisory Board) and Executive Board (Executive Board) of TMG are carefully reviewing and considering the Talpa Proposal, together with their financial and legal advisors, in comparison to the stand alone strategy and other strategic alternatives including the proposal received from the Mediahuis and VP Exploitatie consortium about which TMG is in ongoing discussions withMediahuis and VP Exploitatie. The Supervisory Board and Executive Board will explicitly take into account the interests of all stakeholders of TMG, including the shareholders.
