PROFIT WARNING

This announcement is made by Teamway International Group Holdings Limited (the "Company", and together with its subsidiaries, the "Group") pursuant to Rule 13.09(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules") and the Inside Information Provisions (as defined in the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board (the "Board") of directors (the "Director(s)") of the Company wishes to inform the shareholders of the Company (the "Shareholders") and potential investors that, based on the unaudited consolidated management accounts of the Group for the six months ended 30 June 2020 (the "2020 Interim Period") and information currently available to the Board, it is anticipated that the Group will record a loss attributable to the Shareholders of approximately RMB27.60 million for the 2020 Interim Period as compared to a profit of approximately RMB6.23 million recorded for the six months ended 30 June 2019 (the "2019 Interim Period"). Such turnaround from profit to loss was mainly due to absence of one-off other income in 2020 Interim Period (2019 Interim Period: a one-off other income from an unlisted investment of approximately RMB28.6 million). The Board would like to inform the Shareholders that all of the aforesaid financial effects have already reflected in the audited consolidated financial statements of the Group for the year ended 31 December 2019.

As the Company is still in the process of preparing and finalising its unaudited consolidated accounts for 2020 Interim Period, the information contained in this announcement is only based on the preliminary assessment made by the Board with reference to the current unaudited consolidated management accounts of the Group for 2020 Interim Period, and such information has not yet been finalised and is subject to possible adjustment(s) arising from further internal review by the Board. The detailed unaudited financial information of the Group for the 2020 Interim Period will be disclosed in the interim results announcement of the Company for the 2020 Interim Period which will be released in due course in accordance with the Listing Rules.

NOTICE OF BOARD MEETING

The Board hereby announces that a meeting of the Board will be held on Thursday, 27 August 2020 for the purposes of, among other matters, considering and approving the interim results of the Company and its subsidiaries for the six months ended 30 June 2020 and the recommendation on the payment of an interim dividend, if any, and transacting any other business.

Shareholders and potential investors are advised to exercise caution when dealing in the securities of the Company.
