Suzhou MedicalSystem Technology Co., Ltd. (SHSE:603990) signed share purchase intention agreement to acquire 50% stake in Haikou Mary Hospital Co., Ltd. from Sun Meijiao on January 28, 2019. Suzhou MedicalSystem Technology Co., Ltd. signed Equity Transfer Agreement to acquire 51% stake in Haikou Mary Hospital Co., Ltd. from Sun Meijiao and Sun Guangping for CNY 38.9 million on September 26, 2019. Sun Meijiao and Sun Guangping will sell 49% and 2% stake respectively. The consideration is payable in cash. Consideration will be funded from Suzhou MedicalSystem Technology Co., Ltd. own funds. For the year ended December 31, 2018, Haikou Mary Hospital Co., Ltd. reported net assets of CNY 65.2 million, total revenue of CNY 30.2 million, operating profit of CNY 7.2 million, total assets of CNY 72.7 million and net income of CNY 5.1 million. On September 26, 2019, the third meeting of the third directorate of Suzhou MedicalSystem Technology Co., Ltd. approved the transaction.
