OVERSEAS REGULATORY ANNOUNCEMENT

REPURCHASE AND CANCELLATION OF

CONVERTIBLE BONDS

This overseas regulatory announcement is issued pursuant to Rule 13.10B of the Rules Governing the Listing of Securities (the "Listing Rules") on The Stock Exchange of Hong Kong Limited (the "Stock Exchange").

Reference is made to (i) the announcement of Sunshine 100 China Holdings Ltd (the "Company") dated 18 September 2018 in relation to the issuance of HK$750 million in aggregate principal amount of 4.80% convertible bonds due 2023 (ISIN: XS1877804895) (the "Bonds") by the Company, and (ii) the announcement of the Company dated 10 November 2020 in relation to the adjustment to conversion price of the Bonds. The Bonds are listed on the Singapore Exchange Securities Trading Limited (the "SGX- ST").

As of the date of this announcement, the Company has repurchased all of the Bonds in the open market and completed the cancellation of the repurchased Bonds. Upon cancellation of the repurchased Bonds, there are no Bonds outstanding.

REPURCHASE AND CANCELLATION OF

CONVERTIBLE BONDS

The 4.80% convertible bonds in aggregate principal amount of HK$750 million due 2023 (ISIN: XS1877804895) (the "Bonds") of Sunshine 100 China Holdings Ltd (the "Company") is listed on the Singapore Exchange Securities Trading Limited.

As at the date of this announcement, the Company has repurchased all of the Bonds in the open market. The Company has cancelled the repurchased Bonds in accordance with the terms of the Bonds.
