Sophia Holdings Co.,Ltd. (JASDAQ:6942) announced a private placement of 500,000 common shares with new investor, E-BOND Holdings Co., Ltd. at ¥1,000 per share for gross proceeds of ¥500,000,000 on October 1, 2018. The investor will subscribe shares under third party allocation method. As part of the round, the investor will acquire 18.59% stake in the company. Of the total funding received, ¥250,000,000 will be added to registered capital and remaining to capital reserve. The company will incur expenses of ¥2,270,000 and will receive net proceeds of ¥497,730,000. Application date is October 17, 2018. Payment date is October 18, 2018. The board of directors of the company approved the transaction.
