PROPOSED ACQUISITION OF 32.6562% EQUITY INTEREST IN LONGJIANG ENVIRONMENTAL PROTECTION GROUP CO., LTD (THE "PROPOSED ACQUISITION") - COMPLETION

The Board of Directors ("Board") of SIIC Environment Holdings Ltd. (the "Company) refers to the announcement made by the Company on 18 October 2016 on the Proposed Acquisition ("Announcement"). Unless otherwise defined, all terms and references used herein shall bear the same meaning ascribed to them in the Announcements.

Further to the Announcement, the Company wishes to announce that all the conditions to the 30.7812% Acquisition and the 1.8750% Acquisition as set out in the Announcement have been fulfilled and following thereto, the Company, through Gold Orient and SIIC Shenzhen has made full payment of the Purchase Consideration for the Sale Equity Interest. The Purchase Consideration was funded through the internal cash resources and borrowings of the Company.

Accordingly, the Company has duly completed the Proposed Acquisition. As of the date of this announcement, the Company has an interest in an aggregate 57.9687% of the equity interest in the Target Company and the Target Company has become a subsidiary of the Company.
