VOLUNTARY ANNOUNCEMENT

INCREASE IN SHAREHOLDING

BY A CONTROLLING SHAREHOLDER

This announcement is made by Shanghai Gench Education Group Limited (the ''Company'') on a voluntary basis.

The board (the ''Board'') of directors (the ''Directors'', each a ''Director'') of the Company hereby announces that, as informed by Mr. Zhou Xingzeng (''Mr. Zhou''), the chairman of the Board, an executive Director and a controlling shareholder of the Company, Gan En Limited, a company directly owned and beneficially owned by Mr. Zhou, acquired an aggregate of 250,000 ordinary shares (the ''Shares'', each a ''Share'') of the Company on the market on 27 August 2020 at an average purchase price of HK$6.85 per Share.

Following the above acquisition of Shares by Gan En Limited, Gan En Limited's shareholding interest in the Company has increased from approximately 9.51% to approximately 9.57% of the total issued share capital of the Company as at the date of this announcement. Mr. Zhou, Mr. Zheng Xiangzhan, Mr. Shi Yinjie, She De Limited, Gan En Limited, Ze Ren Limited and Tuan Jie Limited, the controlling shareholders of the Company, are in aggregate interested in 153,400,000 Shares, representing approximately 36.96% of the total issued share capital of the Company as at the date of this announcement. Based on the information available to the Company and to the best knowledge of the Board, the Company has sufficient public float as at the date of this announcement.
