As the 2022 Annual General Meeting of Shareholders of Sermsang Power Corporation Public Company Limited ("Company"), which was held on 26 April, 2022 has approved the dividend payment for the Company's operating results in the year 2021 with details as follows:
The stock dividend distribution from the Company operating result of the year 2021 and retained earnings to the shareholders of the Company is in the amount of not exceeding 113,632,364 shares with the par value of THB 1 per share to the shareholders at the ratio of 10 existing shares per 1 new share, which is equivalent to THB 113,632,364 or equivalent to the dividend payout ratio of THB 0.1000000000 per share. In the event that any shareholder has fractions of shares from the said stock dividend allocation, the Company will pay a cash dividend instead at the rate of THB 0.1000000000 per share for the fraction of such shares.
The cash dividend distribution shall be made at the rate of THB 0.0111111114 per share, totaling THB 12,625,818 to cover withholding tax at the rate of 10 percent of income under Section 50 (2) (e) of the Revenue Code to the dividend recipient.
In this regard, the Company has already increased its registered capital on May 6, 2022 and the Company would like to inform that the Company has allocated the stock dividend to 6,787 existing shareholders, totaling 112,609,135 shares at par value THB 1.00 per share, totaling THB 112,609,135. Therefore, the Company has registered the paid-up registered capital in amount of THB 112,609,135, totaling the paid-up capital after such registration is of THB 1,248,932,772 with the total number of shares sold of 1,248,932,772 shares with a par value of THB 1.00 per share on May 25, 2022.
