SDC INVESTIMENTOS, S.A. INFORMS ON MANAGER TRANSACTION
In accordance with the provisions of article 248-B of the Portuguese Securities Code and article 14 of CMVM Regulation no. 5/2008, SDC Investimentos, S.A. informs that its directors, António Manuel Pereira Caldas de Castro Henriques and Pedro Gonçalo de Sotto Mayor Andrade Santos reported that Investéder - Investiments, Lda. ("Investéder"), company of which they hold all of the share capital, subscribed the capital increase of SDC Investimentos, S.A. ("SDCI"), registered yesterday, from 160,000,000.00 Euros to 165,940,000.00 Euros with the issue of 220,000,000 new nominative common shares without nominal value.
They also reported that Investéder sold 100.000 shares of SDCI, out of the regulated market (Euronext Lisbon), to Oceanlotus, Lda., company presently owned in 60% by Investéder, 15% by António Manuel Pereira Caldas de Castro Henriques and 15% by Pedro Gonçalo de Sotto Mayor of Andrade Santos. The reference price for this transaction was €0.027.
Therefore, Investéder holds a qualifying holding of 90,289% of the voting rights in the public company SDCI corresponding to the ownership of 343.097.423 shares.
Following these transactions, the owners of Investéder - Investimentos, Lda. hold the voting rights corresponding to the indirect holding of 343.197.423 shares.
Under the terms and for the purposes of the provisions of Commissions Implementing Regulation (EU) 2016/523 of March 10th, 2016, the forms of notification and public disclosure of the transactions made on the shares of SDCI are attached.
