BERLIAN LAJU TANKER - ANOTHER RESTRUCTURING MILESTONE
The Company announced, on 12 March 2012, that various of its
operating subsidiaries had obtained Orders from the Singapore
High Court pursuant to s.210(10) of the Singapore Companies
Act, granting protection to those subsidiaries against action
from their creditors for a period of 3 months ("the Orders").
The purpose of the Orders was to allow the Company time to
present a Scheme of Arrangement to its creditors to deal with
the various liabilities of the Group.
On 8 May 2012, the Orders were extended to 2 July 1012, with
the approval of the major secured creditors of the Company.
On 2 July 2012, the Orders were extended for a further period
of 3 months, once again with the approval of the major
secured creditors.
The Indonesian bondholder creditors of the Company have also
agreed not to take any action until 30 July 2012 to allow the
Company to present its proposals to them.
BLT delivered to the Court and its major secured lenders its
preliminary restructuring plan and will now commence working
with its creditors to finalise the plan as quickly as
possible. It is the Company's expectation that the various
creditor groups will be able to work with the Company and
each other to bring the proposed plan to a form that will be
equitable and acceptable to all.
The Plan involves a careful restructuring - the immediate aim
is a streamlined organization operating a younger fleet of
fully stainless steel chemical tankers, as well as eight gas
tankers and two oil tankers - all of which are employed on
long term time charter. The first stage of restructuring
process that culminated in the Plan has been conducted over
the past months and with a restructuring of the corporate,
operational and financial affairs of the group with the
support of the major lenders and creditors and most
importantly BLT's loyal customer base.
In Indonesia, one of the creditors of the Company, Bank
Mandiri, has filed for a PKPU, which is in many ways similar
to an application for a Scheme of Arrangement in Singapore.
The Indonesian action requires the Company to present its
restructuring plan to its creditors for them to consider and
take a vote on, with the Company facing potential bankruptcy
if it does not get the requisite majority of its creditors to
accept the proposal. The Company is aware of the seriousness
of the situation and has already prepared its preliminary
plan which it has presented to the Singapore Court. The
Company expects to move forward with the Indonesian and
Singapore processes, as far as possible, in tandem. It would
have been the
Company's preference for it to have filed for PKPU itself, so
that the processes between Singapore and Indonesia could have
been more easily streamlined. In addition, the Company is of
the view that Bank Mandiri's PKPU application is wrong under
Indonesian law and it is being challenged on that basis.
Notwithstanding that challenge, as matters stand the PKPU
filed by Bank Mandiri is moving forward and the Company is
acting on that assumption.
Notwithstanding this, whether the PKPU action is one
initiated by the Company or another party, the Company
intends to move forward with its restructuring plan and to
work with its creditors to ensure that it is accepted and
eventually sanctioned by the Courts in Indonesia and
Singapore, a process which is well underway.
The next phase of restructuring, after securing creditor
approval, will be the full implementation of the Plan, many
aspects of which are already well underway. The newly
reorganized company will emerge with a strong focus on the
interests of its stakeholders. This will be accomplished
through the persistence and hard work which has been the very
core of Berlian Laju Tankers since its founding over thirty
years ago.

BERLIAN LAJU TANKER -
TONGGAK PENTING RESTRUKTURISASI BERIKUTNYA
Pada tanggal 12 Maret 2012, Perseroan telah mengumumkan bahwa
sejumlah anak perusahaan telah mendapatkan keputusan dari
Pengadilan Tinggi Singapura berdasarkan ketentuan s.210(10)
dari Peraturan Perusahaan Singapura yang memberikan proteksi
kepada anak-anak perusahaan tersebut dari aksi yang dapat
dilakukan oleh kreditur untuk periode selama 3 bulan
("Putusan"). Tujuan dari Putusan adalah untuk memberikan
waktu bagi Perseroan agar dapat memberikan suatu Scheme of
Arrangement untuk menangani berbagai kewajiban Perseroan
kepada kreditur-krediturnya.
Pada tanggal 8 May 2012, Putusan tersebut telah diperpanjang
sampai 2 Juli 2012, atas persetujuan dari kreditur-kreditur
utama Perseroan. Pada tanggal 2 Juli 2012 ini, Putusan
tersebut telah pula diperpanjang selama 3 bulan dan sekali
lagi dengan persetujuan kreditur utama Perseroan.
Kreditur Obligasi Rupiah Perseroan telah pula setuju untuk
tidak mengambil tindakan apa- apa sampai dengan tanggal 30
Juli 2012 untuk memberikan waktu bagi Perseroan agar dapat
memberikan proposal bagi mereka.
BLT telah menyampaikan rencana restrukturisasi awal kepada
Pengadilan dan major secured lenders dan sekarang akan mulai
bekerja bersama-sama dengan kreditur-krediturnya untuk dapat
memfinalisasi rencana tersebut secepat mungkin. Adalah
merupakan harapan bagi Perseroan agar semua grup kreditur
yang berbeda-beda dapat bekerja bersama dengan Perseroan dan
dengan masing-masing grup guna membawa rencana
restrukturisasi yang disampaikan tersebut menjadi suatu
bentuk yang seimbang dan dapat diterima oleh semua pihak.
Rencana tersebut mencakup restrukturisasi yang dilakukan
dengan hati-hati - dengan tujuan jangka pendeknya adalah
pembentukan suatu organisasi yang ramping dengan
mengoperasikan armada kapal tanker kimia stainless steel
penuh yang lebih muda bersama dengan delapan kapal tanker gas
dan dua kapal tanker minyak - dimana semua kapal tersebut
pada saat ini dipekerjakan dengan sewa jangka panjang. Tahap
pertama dari proses restrukturisasi ini yang telah mencapai
titik kulminasi dengan dikeluarkannya Rencana Restrukturisasi
ini telah dilakukan pada beberapa bulan terakhir dan dengan
restrukturisasi pada berbagai aspek termasuk badan usaha,
operasional dan keuangan grup usaha Perseroan dan mendapatkan
dukungan dari kreditur-kreditur utama Perseroan dan juga
terutama sekali berkat dukungan dari semua pelanggan BLT yang
setia.
Di Indonesia, salah satu dari kreditur Perseroan, yaitu Bank
Mandiri, telah mencatatkan permintaan penyelesaian melalui
PKPU, yang pada dasarnya hampir sama dengan aplikasi Scheme
of Arrangement yang berlaku di Singapura. Tindakan yang
dilakukan di Indonesia tersebut membutuhkan Perseroan untuk
menyampaikan rencana restrukturisasinya kepada
kreditur-kreditur yang ada agar para kreditur dapat
mempertimbangkan dan mengambil keputusan dengan cara
pengambilan suara dan dengan konsekuensi Perseroan dapat
menghadapi potensi pailit apabila rencana Perseroan tersebut
tidak mendapatkan dukungan dari mayoritas kreditur yang ada.
Perseroan sadar atas seriusnya keadaan yang sedang dihadapi
dan oleh karena itu telah mempersiapkan rencana
restrukturisasi awal tersebut dan telah pula menyampaikannya
kepada Pengadilan Singapura. Perseroan berharap agar sedapat
mungkin melakukan proses-proses yang akan dilakukan baik di
Indonesia maupun Singapura tersebut secara bersama-sama. Oleh
karena itu, Perseroan pada dasarnya lebih memilih mencatatkan
sendiri penyelesaian ini melalui PKPU sehingga proses yang
dilakukan baik di Indonesia maupun di Singapura dapat
dilakukan dengan lebih singkat. Sebagai tambahan, Perseroan
berpendapat bahwa aplikasi PKPU Bank Mandiri tersebut adalah
salah menurut hukum di Indonesia namun sesuai dengan kondisi
yang ada sekarang ini, PKPU yang disampaikan oleh Bank
Mandiri akan terus berjalan dan Perseroan bertindak dengan
asumsi tersebut.
Walaupun demikian, apakah aksi PKPU ini dimulai dari
Perseroan sendiri ataupun oleh pihak lain, Perseroan ingin
agar rencana restrukturisasi ini dapat terus berjalan ke
depan dan Perseroan dapat bekerja sama dengan para kreditur
untuk memastikan bahwa rencana tersebut dapat diterima dan
akhirnya diputuskan oleh Pengadilan di Indonesia dan
Singapura, dimana proses ini sedang berjalan dengan baik pada
saat ini.
Fase restrukturisasi berikutnya setelah mendapatkan
persetujuan dari kreditur adalah implementasi penuh dari
restrukturisasi itu sendiri dimana banyak dari aspek-aspek
restrukturisasi tersebut sedang berjalan dengan baik pada
saat ini. Perusahaan dengan bentuk reorganisasi yang baru ini
akan muncul dengan fokus yang kuat pada kepentingan pemegang
saham. Ini akan dicapai dengan persistensi dan kerja keras
yang telah merupakan inti dari semangat Berlian Laju Tanker
sejak saat didirikan lebih dari tiga puluh tahun lalu.
