DELAY IN PUBLICATION OF AUDITED ANNUAL RESULTS

AND ANNUAL REPORT FOR THE YEAR ENDED 31 MARCH 2020

Reference is made to the announcement of Prosperity International Holdings (H.K.) Limited (the ''Company'', together with its subsidiaries, the ''Group'') dated 30 June 2020 in relation to, amongst others, the unaudited annual results announcement for the year ended 31 March 2020 (the ''Announcement''). Unless the context otherwise requires, terms used in this announcement shall have the same meaning as those defined in the Announcement.

DELAY IN PUBLICATION OF AUDITED ANNUAL RESULTS FOR THE YEAR ENDED 31 MARCH 2020

As explained in the section headed ''PREPARATION OF UNAUDITED ANNUAL RESULTS'' in the Announcement, the audit process has been disrupted due to the outbreak of COVID-19, thus the Company is unable to publish the audited annual results of the Group for the year ended 31 March 2020 (the ''2020 Audited Annual Results'') by 30 June 2020 in accordance with Rules 13.49(1) and 13.49(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the ''Listing Rules''). The Company expected that the announcement relating to the 2020 Audited Annual Results will be made before the middle of August 2020.

DELAY IN PUBLICATION OF ANNUAL REPORT

Following the delay of the publication of the 2020 Audited Annual Results, the publication of the annual report for the year ended 31 March 2020 (the ''2020 Annual Report'') will hence be delayed accordingly, and the Company expects it will not be able to despatch the 2020 Annual Report on or before 31 July 2020 pursuant to 13.46(2)(a) of the Listing Rules.

In the light of the above, the Company currently expects to despatch the 2020 Annual Report by mid September 2020. The Company and the External Auditor are actively facilitating the audit process. The Company will make further announcement(s) as and when necessary if there are other material development in the completion of the audit process and the publication of the 2020 Audited Annual Results and the 2020 Annual Report.

Shareholders and potential investors of the Company are advised to exercise caution when dealing in the securities of the Company.
