If the total number of shares entitled to dividend
distribution is affected because of (i) issuance of
new shares for any employee's exercise of his or her
right under the certificate of stock options to
subscribe to new shares; or (ii) repurchase of any shares
in the Company or transfer of treasury shares; or (iii)
capital increase by cash contribution, or any other cause,
which results in a change in the number of shares entitled
to dividend distribution by the Company, it is proposed that
the Chairman be authorized to adjust the ratio of shareholders'
dividend distribution, on the basis of (a) the total amount of
the cash dividend to be approved by the Board; and (b) the
actual total number of shares entitled to dividend
distribution as of the referenced day for dividend
distribution, and that the ratio of dividend distribution
shall be counted to four decimal fraction(any decimal more
than four shall be rounded down).
