Poligrafica S. Faustino S.p.A.: additional information relating to the merger by incorporation project of the subsidiary Psfinteractive S.r.l.

Following what was communicated on July 3, 2019 regarding the approval of the merger by incorporation project in Poligrafica S. Faustino S.p.A. of the subsidiary Psfinteractive S.r.l. as well as the subsequent publication of the minutes by the Board of Directors on July 10, 2019, pursuant to art. 6 of the "Related Party Transactions Regulation" adopted with Consob Resolution no. 17221 of March 12, 2010 and subsequent amendments and additions, it is herewith specified that:

• the counterpart of the transaction - Psfinteractive S.r.l. - is a related party as a wholly owned subsidiary of Poligrafica S. Faustino S.p.A .;
• the transaction does not exceed the relevance thresholds identified pursuant to art. 4, paragraph 1, letter a) of the Related Party Transactions Regulation;
• in accordance with the provisions of art. 4 of the "Procedure for Transactions with Related Parties" adopted by Poligrafica S. Faustino S.p.A., the company has made use of the exclusion clause envisaged by art. art. 14, paragraph 2 of the aforementioned Regulation.
