BOARD OF DIRECTORS: PROPOSED REAPPOINTMENTS AND APPOINTMENTS

Acting on the proposal of the Appointments and Human Resources Committee, Oeneo's Board of Directors has adopted the following resolutions to be submitted for the approval of the Combined Shareholders' Meeting on 25 July 2016:

The renewal of the mandates of directors Mrs Véronique Sanders, Mrs Marie-Amélie Jacquet and Mr François Heriard Dubreuil, and non-voting directors Mr Henri Vallat and Mr André Charles for a period of three years.

The Shareholders' Meeting will also be asked to ratify the provisional appointment, by the Board of Directors' Meeting of 4 December 2015, of Mr Vivien Heriard Dubreuil to replace the company Mantatech, which is standing down. 
Mr Vivien Heriard Dubreuil has already served on the Board as the permanent representative of Mantatech.

The appointment of two new directors:

  • Mrs Alessia Antinori as an independent director for a period of three years to replace Mrs Angela Muir, who has been a director since 2004 and whose mandate is set to expire;
  • Mrs Catherine Clement-Chabas as an independent director for a period of three years.

If these resolutions are approved by the Shareholders' Meeting, Oeneo's Board of Directors will include 13 directors, 5 of them women, and 2 non-voting directors.

7 out of 13 directors (excluding non-voting directors) will be independent directors, thereby exceeding the recommendation of the AFEP-MEDEF corporate governance code that at least one-third of directors of controlled companies be independent.

Biographies
 

Born in 1975, Mrs Alessia Antinori obtained a degree in Viticulture and Oenology from the Department of Food Science and Technology at the Agrarian University of Milan, Italy, on March 1998. During the period from 1999 to 2005, Alessia Antinori has followed several activities concerning the Montenisa Estate in Franciacorta area, as project manager. She was also responsible for several experimental projects for the prestigious Italian winery, Marchesi Antinori, founded in 1385.

From 2006 to 2009 she became export manager taking in charge the new emerging markets in the world, such as Asia and Australia. From 2009 Alessia has spent most of her time in United States as Antinori Family Ambassador for the US market. For the years 2003-2004 and 2014-1015 she has been President of the Premium Familiae Vini, organization of twelve of the most prestigious wine families in the world.

Owner of Fattoria di Fiorano located in Rome where she works most part of her time. Within the group companies Alessia is Counselor of: Tormaresca Srl, Antinori Società Agricola a R.L., Palazzo Antinori Srl and Le Mortelle Società Agricola a R.L. Actually Alessia Antinori is the Vice President of Marchesi Antinori Spa.

Born in 1964, Mrs Catherine Clement Chabas graduated from the Institut Commercial in Nancy in 1985 and qualified as a Chartered Accountant in 1990. She began her career as an auditor for Pricewaterhouse Coopers (PwC) in 1985, before joining software editor Hyperion (Oracle) from 1993 to 1996 where she oversaw the financial consolidation offer created by the company's development teams in the United States. Drawing on her systems and functional expertise, in 1996 Catherine Clement Chabas joined the Management Reporting Solutions team at PwC where she became a partner in 2000. In 2005, she went on to set up her own consulting firm, C4 Conseil, specializing in consolidation and international accounting standards (IFRS) and working alongside the finance departments of several major industrial and financial corporations. In 2012, she sold her 15-strong firm to RSM where she works as an IFRS expert.
