           Off-Balance Sheet Arrangement of a Registrant.



On May 27, 2021, NSTAR Electric Company, doing business as Eversource Energy ("NSTAR Electric"), issued $300,000,000 aggregate principal amount of its 3.10% Debentures due 2051 ("Debentures") pursuant to an Underwriting Agreement, dated May 24, 2021, between NSTAR Electric and Barclays Capital Inc., MUFG Securities Americas Inc., PNC Capital Markets LLC and RBC Capital Markets, LLC, as representatives of the several Underwriters named therein. The Debentures were issued under an indenture dated as of September 1, 1988, between NSTAR Electric (formerly Boston Edison Company) and The Bank of New York Mellon Trust Company, N.A. (as successor to The Bank of New York, as successor to Bank of Montreal Trust Company), as trustee. NSTAR Electric has registered its Debentures with the U.S. Securities and Exchange Commission under the Securities Act of 1933, as amended, pursuant to a Registration Statement on Form S-3 (Commission File No. 333-231118-02).

The Debentures mature on June 1, 2051 and bear interest at 3.10%, payable semi-annually on each June 1 and December 1, commencing on December 1, 2021. Interest on the Debentures will accrue from May 27, 2021 and will be computed on the basis of a 360-day year consisting of twelve 30-day months.
