nDivision, Inc. acquired Go2Green Landscaping, Inc. (OTC:GTGN) in a reverse merger transaction on February 13, 2018. Under the terms of the transaction, Go2Green Landscaping issued 27.5 million common shares issued to the nDivision shareholders. In connection with the transaction, Go2Green Landscaping was restructured from 14.4 million common shares issued and outstanding, to approximately 39.2 million common shares issued and outstanding. The stockholders of nDivision will beneficially own approximately 70% of the issued and outstanding common stock of Go2Green Landscaping. Following the Merger, nDivision will become a wholly-owned subsidiary of Go2Green Landscaping, change its name to "nDivision, Inc.", or such similar name as is available, and adopt the business plan of nDivision. Immediately following the merger, the Board of Directors appointed Alan Hixon as Chief Executive Officer, Chief Financial Officer and Director; Brad Wiggins as Chief Administrative Officer and Director; Justin Roby as Chief Technology Officer and Director; Michael Beavers as Chief Commercial Officer and Director; Dennis Cagan, H. William Gordon, Larry King and Sean McIlrath as Directors. The transaction is subject to the satisfaction of the following conditions; complete and satisfactory due diligence review, approval by both the Board of Directors and the shareholders of nDivision, third-party consents, approval by both the Board of Directors and the shareholders of Go2Green Landscaping and Go2Green Landscaping selling shares in a private placement offering. The transaction has been approved by both Board of Directors and the shareholders of Go2Green Landscaping.
