Subject: Change of directors, authorized directors, chief financial officer and members of the executive committee

The Board of Directors' meeting of Nation International Edutainment Public Company Limited (the "Company") No. 8/2022 held on 22 June 2022 has passed significant resolutions as follows:

1. Acknowledged the resignation of (a) Mr. Rashane Leerabandhu from the director position and the Chairman of the Board of Directors and (b) Mr. Voraphot Chanyakomol from the director position and the Chief Financial Officer with the effect from 22 June 2022;
2. Approved the appointment of Mr. Chan Kin Tak to be the Director and Mrs. Chitkasem Moo- Ming to be the Director in replacement of Mr. Rashane Leerabandhu and Mr. Voraphot Chanyakomol, who resigned from the director position (respectively), with immediate effect after the Board of Directors passed a resolution approving the matter. These 2 new directors will hold directorship for the remaining term of the directors whom they replace;
3. Approved the change of the Company's authorized directors with immediate effect after the Board of Directors passed a resolution amending the matter as follows:
   From:
   "Mr. Rashane Leerabandhu jointly sign with Mr. Voraphot Chanyakomol, totaling two directors, and the Company seal affixed"
   To be:
   "Mr. Chan Kin Tak jointly sign with Mrs. Chitkasem Moo-Ming, totaling two directors, and the Company's seal affixed"
4. Approved the appointment of Mr. Kumpol Ruaypom to be the Chief Financial Officer with immediate effect after the Board of Directors passed a resolution approving the matter; and
5. Approved the change of members of the Executive Committee to be in line with the change of major shareholder and the Company's restructuring. The Executive Committee consists of 5 members as follows:
