Morgan Stanley Capital Trust VIII (the Trust) is a trust that exists solely to issue and sell its common securities to Morgan Stanley, and issues and sells its capital securities to the public. The Trust uses the proceeds from the sale of its common securities and capital securities to purchase junior subordinated debentures from Morgan Stanley, and engages in other activities that are necessary or incidental to these purposes. The Trust holds directly or indirectly all of the common securities of each of the Morgan Stanley Capital Trusts. The junior subordinated debentures will be the Trust's only assets.
