adShark, Inc agreed to acquire Monster Offers (OTCBB:MONT.D) in a reverse merger transaction on May 9, 2012. The transaction will take place subsequent to the spin-off of adShark, Inc. by Iconosys, Inc. to its shareholders. As of October 8, 2012, Monster Offers announced the exchange ratio to acquire adShark, Inc. Monster Offers will issue its 1 share in exchange of 4.38 shares of adShark, Inc. Pursuant to this transaction, Monster Offers will change its name to Monster Mobile Marketing, Inc. reflecting post-acquisition business focus. adShark, Inc. entered into a acquisition agreement and plan of merger to acquire Monster Offers (OTCBB:MONT.D) on November 9, 2012. Each share of AdShark shall be reversed before converting into Monster Offers' common stock in the merger at an exchange ratio of 4.38:1. Monster Offers issued 27.94 million shares of Monster Offers' unregistered restricted common stock and adShark shareholders own approximately 89.6% of Monster Offers' common stock outstanding. The Directors and Executive officers of Ad Shark would become the Directors and Executive officers of Monster Offers, such that the new board for Monster Offers would consist of three Directors. The officers of Monster Offers will be the same as the former officers of Ad Shark. Paul Gain resigned as an officer and director of Monster Offers and as part of the merger agreement, Gain agreed to work as a consultant for the Monster Offers as an independent contractor. The transaction is subject to Board Approval of Monster Offers and adShark, holders of no more than five percent (5%) of adShark's common stock shall have dissented to the merger, majority shareholder approval of adShark. Shareholders holding a majority of the voting power of Ad Shark have approved the acquisition. Monster Offers did not need the approval of its stockholders to consummate the acquisition. The transaction has been approved by the Boards of Directors of Monster Offers and Ad Shark. Law Office of Brandon S.
