Subject of the Disclosure
Monde Nissin Corporation's ("MNC's") issuance of a parent guarantee in connection with the loan obligations of MNC's wholly owned, UK-based indirect subsidiary Marlow Foods Limited ("Marlow").
Background/Description of the Disclosure
In the meeting of MNC's Board of Directors on December 20, 2021, the Board approved the issuance by MNC of a parent letter of support and/or letter of guarantee to Citicorp International Limited ("Citi") (for itself and as agent for and on behalf of certain financial institutions) in connection with that certain loan agreement dated March 15, 2019 by and between MNC's wholly owned, UK-based indirect subsidiary Marlow and Citi (for itself and as agent for certain financial institutions).
On March 24, 2022, MNC formally issued the parent guarantee between MNC and Marlow on the one hand, and Citi (for itself and as agent for and on behalf of certain financial institutions) on the other. The parent guarantee intends to use MNC's credit strength to improve the terms of the interest rate and / or amortization in the loan agreement between Marlow and Citi.
