Media-Maker: Information on delayed publication of financial results as of december 31, 2021 and as of june 30, 2022

MEDIA-MAKER: INFORMATION ON DELAYED PUBLICATION OF FINANCIAL RESULTS AS OF DECEMBER 31,

2021 AND AS OF JUNE 30, 2022

Milan, February 1, 2023 - With reference to the financial results for the year ended on December 31, 2021 of the company Media Maker S.p.A. (the "Company"), the Company informs that in the last few months it has been affected by some events that had an impact on its economic and financial structure, including a temporary interruption of the Company's business activity due to the press news which involved the Company in relation to legal investigations carried out on its former general manager with reference to companies other than the Company where he carried out his activity.

In this context, a new Board of Directors of the Company, in the person of Fabrizio Palmieri as chairman of the Board of Directors, Luciano Vannozzi and Antonio Serafini, has been recently appointed and, also in light of the aforementioned events, it carefully assessed the ways to ensure the possible business continuity of the Company and the management of the business activity; due to the lack of the required requirements for such assessment, the new Board of Directors decided not to proceed with the approval of the draft financial statements for the year ended on December 31, 2021, reserving the right to furtherly verify the development of the Company's economic- financial situation within March 31, 2023.

As of the date of today, the Company declares that an application for access to the judicial liquidation procedure has been filed against it, pursuant to Article 121 et seq. of Legislative Decree no. 14/2019, by one of its alleged creditors, and that - as of today - such application has been rejected by the Court of Milan.
