Results of the Annual and Special General Meeting of Shareholders

On May 15, 2024, Maris-Tech Ltd. (the "Company") held an Annual and Special General Meeting of Shareholders (the "Meeting") for the following purposes:

Proposal No. 1

To re-appoint Kost, Forer, Gabbay & Kasierer, a member firm of Ernest & Young Global Limited, as the independent auditor of the Company and to authorize the Board of Directors of the Company (the "Board") to determine their remuneration, until the next annual general meeting of the Company's shareholders;

Proposal No. 2

To re-appoint Mr. Israel Bar to serve as a Class III director, on the Board for a three-year term continuing until the Company's 2027 annual general meeting of shareholders; and

Proposal No. 3

To ratify the service agreement, and to approve an amendment to the terms of the service agreement, with Mr. Elad Kashi, a service provider of the Company, who is a relative of Mr. Israel Bar, the Company's Chief Executive Officer and a director of the Company.

At the Meeting, a quorum was present and the shareholders of the Company present or represented by proxy approved each proposal as presented at the Meeting and described in the Proxy Statement.
