CLARIFICATION ANNOUNCEMENT

ON CIRCULAR RELATING TO ANNUAL GENERAL MEETING

Reference is made to the circular of Mainland Headwear Holdings Limited (the "Company") dated 21 April 2021 regarding annual general meeting and other matters (the "Circular").

We would like to clarify as follows:

1. In the forthcoming annual general meeting of the Company to be held on 26 May 2021 ("AGM"), there is no resolution on refreshment of scheme mandate limit for the share option scheme to be proposed at the AGM.
2. The heading in page 1 of the Circular should be read as:
   "NOTICE OF ANNUAL GENERAL MEETING AND PROPOSALS FOR RE-ELECTION OF DIRECTORS AND GENERAL MANDATES TO ISSUE SHARES AND TO REPURCHASE SHARES"
   The wording of "AND REFRESHMENT OF SCHEME MANDATE LIMIT FOR SHARE OPTION SCHEME" in the original heading should be deleted.
3. The wording of "AND REFRESHMENT OF SCHEME MANDATE LIMIT FOR SHARE OPTION SCHEME" in the title of the Circular which appears in the website of the HKEXnews (www.hkexnews.hk) should also be disregarded.
