Magnetic North Acquisition Corp. (TSXV:MNC) entered into a purchase agreement to acquire Intergild Advanced Recycling Technologies for CAD 4 million on August 24, 2020. As part of the agreement, Magnetic North will issue 0.4 million Series A Preferred Shares of the Magnetic North at a price of CAD 10 per share in consideration of all issued and outstanding shares of Intergild. The transaction is resulting in Intergild becoming a wholly owned subsidiary of Magnetic North. Post acquisition, Magnetic North intends to merge Intergild into the Magnetic North previously announced and closed investment in CXTL Recycling Canada Corp. to augment CXTL’s e-waste recycling solution. Magnetic North Acquisition Corp. (TSXV:MNC) completed the acquisition of Intergild Advanced Recycling Technologies for CAD 4.9 million on October 28, 2020. As part of the consideration, Magnetic North will issue 0.4 million Series A Preferred Shares of the Magnetic North at a price of CAD 10 per share, a cash payment in the amount of CAD 53,000, a promissory note in the amount of CAD 377,000, which is due and payable within 60 days of the closing date. Graham Fritz, founder and former Chief Executive Officer of Intergild has joined the Magnetic North Board of Advisors. In connection with the transaction, Magnetic North issued 300,000 stock options of Magnetic North to Fritz and 300,000 warrants of Magnetic North to the other shareholder of Intergild, with each option and warrant entitling the holder to acquire one common share of the Company at a price CAD 0.70 per share for a term of five years.
