Langfang Investment Holdings Group Co., Ltd. agreed to acquire Langfang Zhishang Wuyou Technology Development Co., Ltd. from Langfang Development Co., Ltd. (SHSE:600149) for CNY 1.4 million on July 12, 2024. A cash consideration of CNY 1.4 million will be paid by Langfang Investment Holdings Group Co., Ltd. As part of consideration, CNY 1.4 million is paid towards common equity of Langfang Zhishang Wuyou Technology Development Co., Ltd.
As of June 30, 2024, Langfang Zhishang Wuyou Technology Development Co., Ltd. reported total assets of CNY 203.25 million and net liabilities of CNY 0.11 million.
The transaction is subject to approval of merger agreement by board and approval of offer by shareholders of Langfang Development Co., Ltd. The deal has been approved by the board.
Langfang Development Co., Ltd. is a China-based company mainly engaged in the goods trading business. The Company is also engaged in the provision of real estate management consulting service and Website service. The Company's main products are cements. The Company operates its businesses through leasing of buildings, provision of investment promotion and capital introduction services, management consulting for park investment, construction and operation projects, as well as sales of building materials, electronic products, electronic software, home appliance, electrical equipment, computer and computer accessories, communications equipment, furniture and others. The Company mainly conducts its businesses in Hebei Province.
Langfang Investment Holdings Group Co., Ltd. agreed to acquire Langfang Zhishang Wuyou Technology Development Co., Ltd. from Langfang Development Co., Ltd. for CNY 1.4 million.
