Item 8.01 Other Events.

As previously disclosed by KushCo Holdings, Inc. (the "Company"), the Company received a subpoena dated July 11, 2019 from the U.S. Securities and Exchange Commission (the "SEC") requesting information and documents generally related to the Company's restatement of its consolidated financial statements for the fiscal years ended August 31, 2018 and 2017, and for the three months ended November 30, 2018 and 2017.

On January 21, 2020, the Company received written notification from the SEC stating that it has concluded its investigation and, based on the information provided to the SEC as of such date, the SEC does not intend to recommend an enforcement action against the Company.
